Acceptable Use Policy

This NinjaTech AI Acceptable Use Policy (“Policy”) applies to your access and use of all technology, services and other offerings provided or made available by NinjaTech AI, Inc. or its affiliates (“NinjaTech”) (all such technology, services and other offerings are referred to collectively as the “Services”). In the event of a conflict between this Policy and an express written agreement between you and NinjaTech, the terms of the express written agreement will control. 

Your violation of this Policy could result in an action against your account, including suspension or termination. The Services are not intended for high risk uses that could result in the death or serious bodily injury of any person or in other catastrophic damage, including through warfare or the operation of critical infrastructure.

NinjaTech may change, modify or supplement this Policy at any time by amending this Policy and such changes, modifications or supplements will be effective upon posting. Please refer to the “Last Updated” legend above, to learn when this Policy was last updated.

Use Restrictions

You may not access or use the Services:

• in a manner that violates any federal, state, local, or foreign laws (including common law), codes, statutes, ordinances, rules, regulations, regulatory bulletins, interpretations or guidance or orders, decrees and orders of, official releases or any other requirements by, any governmental authority or agency (“Laws”);
• in a manner that infringes, misappropriates or violates any third party’s rights (including intellectual property rights);
• as part of an automated decision-making process with legal or similarly significant effects, unless you ensure that the final decision is made by a human being (in which case, you must account for other factors beyond the Services’ recommendations in making the final decision);
• as part of an automated decision-making process for payday lending even when the final decision is made by a human being;
• for generating advice that in the ordinary course of business would be provided by a licensed professional (including financial and legal advice); except that you may use the Services to support a licensed professional where the Services were not used in the generation of individualized advice; 
• for generating or providing individualized medical advice, treatment, or diagnosis to a consumer or end user;
• for explicitly predicting an individual’s protected characteristic, including, but not limited to, racial or ethnic origin, and past, current, or future political opinions, religious or philosophical beliefs, trade union membership, age, gender, sex life, sexual orientation, disability, health status, medical condition, financial status, criminal convictions, or likelihood to engage in criminal acts;
• for submitting images of individuals for the purposes of creating or analyzing biometric identifiers, such as face prints or fingerprints or scans of eyes, hands, or facial geometry;
• for engaging in coordinated inauthentic behavior for the purposes of manipulating public debate;
• for creating or distributing highly deceptive manipulated or synthetic digital media that is fabricated or false but presented as authentic or fact-based, including, but not limited to, deepfakes; 
• for engaging in plagiarism or academic dishonesty;
• for any purpose relating to child sexual exploitation or Child Sexual Abuse Material (CSAM);
• for developing, advertising, marketing, distributing, or selling weapons, weapon accessories, or explosives, as enumerated by the United States Munitions List;
• for targeting, generating, or distributing political campaign materials for external public or semi-public audiences;
• for harvesting or collecting information about users of the Services;
• for systematically downloading and storing content, data or outputs from the Services; 
• for activity that is or may be: (a) threatening, harassing, degrading, abusive, hateful or intimidating, or otherwise fail to respect the rights and dignity of others; (b) defamatory, libelous, fraudulent or otherwise tortious or unlawful (including impersonating another person, company, or entity or engaging in misleading or otherwise unethical marketing or advertising practices); or (c) obscene, indecent, pornographic or otherwise objectionable; or 
• attempt to do any of the foregoing or assist anyone in doing any of the foregoing.

You may not:

• reproduce, modify, adapt, translate, create derivative works of, sell, rent, lease, loan, timeshare, distribute or otherwise exploit any portion of (or any use of) the Services except as expressly authorized herein, without NinjaTech’s express prior written consent;
• remove any copyright, trademark or other proprietary rights notice from the Services;
• reverse engineer, decompile or disassemble any portion of the Services (including the source code and underlying components, models, algorithms or systems), except where such restriction is expressly prohibited by Law;
• interfere with or disrupt the operation of the Services or the servers or networks used to make the Services available, including by hacking or defacing any portion of the Services; or violate any requirement, procedure or policy of such servers or networks;
• gain or obtain unauthorized access to any parts of the Services, or any server, computer, or database used in connection with the Services, including but not limited to the disabling or circumventing of any license key or other technological mechanisms or measures intended to prevent, limit or control use or copying of, or access to the Services;
• represent that any output created by the Services was human-generated when such output was not generated by a human;
• use any output generated by the Services to develop models that compete with NinjaTech;
• frame or mirror any portion of the Services, or otherwise incorporate any portion of the Services into any product or service, without NinjaTech’s express prior written consent; or 
• attempt to do any of the foregoing or assist anyone in doing any of the foregoing.

Content Restrictions

In connection with the Services, you must not post, transmit or otherwise make available through or in connection with the Services:

• any virus, worm, Trojan horse, Easter egg, time bomb, spyware or other computer code, file or program that is potentially harmful or invasive or intended to damage or hijack the operation of, or to monitor the use of, any hardware, software or equipment;
• any materials that are or may be: 

• unlawful or in promotion of unlawful activities;
• threatening, harassing, degrading, abusive, violent, inflammatory, hateful or intimidating, or otherwise fail to respect the rights and dignity of others; 
• discriminatory based on race, sex, religion, nationality, disability, sexual orientation, or age;
• defamatory, libelous, fraudulent or otherwise tortious; 
• obscene, indecent, offensive, pornographic or otherwise objectionable; or
• protected by patent, copyright, trademark, trade secret, right of publicity or privacy or any other proprietary or intellectual property right, without the express prior written consent of the applicable owner of such right; or

• any materials that:

• contain any material that could give rise to any civil or criminal liability under applicable laws or regulations;
• promote any illegal activity, or advocate, promote, or assist any unlawful act;
• impersonate any person, or misrepresent your identity or affiliation with any person or organization, or otherwise be likely to deceive any person; or
• give the impression that they emanate from or are endorsed by NinjaTech or any other person or entity, if this is not the case.
